Terms of Service

These terms are the agreement between Opvane Inc. (“Opvane”, “we”) and the business that opens an account (“you”, the “shop”). By creating a store in Opvane or using it, you agree to them.

1. What Opvane is

Opvane is a subscription web service for independently owned shops. It gives an owner a view of their shop: staff clock-in and clock-out with location verification, timesheets, and the billing for the service itself. It is not payroll software, does not calculate pay, and does not process your customers’ payments.

2. Accounts and who can use them

  • The person who creates a store is its owner and is responsible for everything done under that store, including by managers and staff they invite.
  • You may only invite people who work for your shop, and you must have the authority to enrol them. You are responsible for telling your staff that clock-ins record their location, as described in the Privacy Policy.
  • Sign-in is by email link. Anyone with access to a staff member’s inbox can act as them, so each person must use an email address only they control.
  • One store per account. Managers and staff belong to one store at a time.

3. Subscription, trial and payment

  • Every new store starts with a 14-day free trial. No card is needed to start the trial.
  • After the trial, the service costs $49.00 CAD per store per month, plus applicable taxes, billed in advance each month through Stripe. Prices may change with at least 30 days’ notice by email to the owner.
  • If a payment fails or the trial ends without a subscription, the store moves through three stages: 7 days of full access with a reminder, then 7 days in which new clock-ins and staff invites are paused, then the dashboard is locked until billing is resolved. Staff already clocked in can always clock out. Nothing is deleted at any of these stages.
  • You can cancel at any time from the billing portal. Cancellation takes effect at the end of the paid period. We do not refund partial months.

4. Your data

  • Your shop’s data (staff list, shifts, locations, corrections) belongs to you. We use it only to run the service for you, as set out in the Privacy Policy.
  • You can ask for an export of your shop’s data at any time by emailing hello@opvane.com.
  • Shift records are employment records. When a staff account is removed, their shift history stays attached to the shop so that payroll and employment-standards obligations can still be met. You are responsible for keeping records as long as the law requires you to.

5. Location verification is a deterrent, not proof

Clock-in checks the device’s reported location against the shop’s location and radius, and records it. Device location can be inaccurate or deliberately falsified. Treat a rejected or flagged punch as a prompt to check, not as proof of wrongdoing, and treat an accepted punch as evidence, not certainty. Owners and managers can correct any shift; every correction is recorded with who made it and why. You remain responsible for the accuracy of the hours you pay.

6. Acceptable use

  • Do not use Opvane to monitor anyone who is not on shift for your shop.
  • Do not try to access another shop’s data, probe the service, or interfere with it.
  • Do not use the service for anything unlawful, including any use that breaches employment or privacy law where your shop operates.

7. Availability and changes

We work to keep Opvane available, but it is provided as is, without a guaranteed uptime. If the service is unavailable and a punch cannot be recorded, record the time another way and correct the shift afterwards. We may change or add features, and will give notice before removing anything you rely on.

8. Limits on our liability

To the extent the law allows, Opvane Inc. is not liable for indirect, consequential or special losses, including lost profits, payroll errors arising from inaccurate device location, or losses caused by someone using a staff member’s email account. Our total liability to you for anything arising from the service is limited to the fees you paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

9. Ending the agreement

  • You can close your store at any time by cancelling and emailing us to delete the account.
  • We can suspend or close a store that breaches these terms, or that has been locked for non-payment for more than 90 days, after emailing the owner. We will give you a reasonable chance to export your data before deletion.

10. Governing law

These terms are governed by the laws of Alberta, Canada, and any dispute will be heard in the courts of Alberta.

11. Changes to these terms

We may update these terms. For material changes we will email the store owner at least 30 days before they take effect. Continuing to use Opvane after that date means you accept the new terms.
